LuxeDiva B2B Trade Terms & Conditions

1. About These Terms

These B2B Trade Terms and Conditions apply to applications, accounts, orders and services provided through LuxeDiva Trade.

LuxeDiva Trade is operated by Velvet basket ltd, trading as LuxeDiva, of [Unit 6, 53 Broughton Lane Manchester M8 9UE, company number 16160141 and VAT number GB51303929.

In these terms, “LuxeDiva”, “we”, “us” and “our” refer to the business operating LuxeDiva Trade. “Reseller”, “you” and “your” refer to the business applying for or using a LuxeDiva Trade account.

These terms apply only to business customers purchasing in the course of business. They do not apply to consumers purchasing from the LuxeDiva retail store.

By applying for a Trade account, accepting account access or placing a Trade order, you agree to these terms and our B2B Delivery & Returns Policy.

2. Business Eligibility

You confirm that:

  • You are acting wholly or mainly for purposes connected with your trade, business, craft or profession.

  • You are authorised to apply for and operate the account on behalf of the named business.

  • All information supplied to us is complete, accurate and current.

  • You will provide reasonable evidence of your business identity, marketplace activity or authority when requested.

  • You will comply with applicable laws, marketplace policies and consumer-protection requirements.

Trade accounts are not intended for personal or household purchasing.

3. Applications and Account Approval

Submitting an application does not guarantee approval.

We may accept, decline or request further information about an application. We are not required to disclose confidential fraud-prevention, credit-assessment or commercial criteria used in our decision.

Approved access is personal to the business named in the application and must not be transferred, sold or shared with another business without our written agreement.

You must promptly update us if your company name, ownership, address, contact information, VAT status, marketplace accounts or business activities change.

4. Account Security

You are responsible for controlling access to your approved email addresses and Trade account.

You must not share login codes, account links or confidential trade information with unauthorised people.

You must notify us immediately at support@luxediva.co.uk if you believe that your account has been accessed or used without permission.

We are not responsible for orders placed through your account where the access resulted from your failure to keep your email account or login information secure, except where the loss was caused by our own breach of duty.

5. Trade Account Types

We may offer different account types, including:

  • Dropshipping accounts

  • Wholesale accounts

  • High-volume or individually agreed accounts

Products, prices, minimum quantities, delivery options and account permissions may differ between account types.

Dropshipping prices may be higher than wholesale prices because they may include individual-order handling, picking, packing or fulfilment costs.

Wholesale prices may require minimum quantities, pack sizes or minimum order values.

6. Products and Availability

Only products assigned to your approved Trade catalogue are available on your Trade account.

Product availability can change without notice. Displayed stock information may be affected by simultaneous retail, wholesale and Trade orders.

Stock is not reserved when you advertise a product, place it in your basket or receive an order from your customer. Stock is reserved only when we accept your LuxeDiva order.

You must monitor product availability and remove or pause marketplace listings when a product or variation is no longer available.

We do not guarantee that any product, colour, size or variation will remain available for a particular period.

We will not substitute a materially different product, size or colour without your agreement.

7. Product Information

We take reasonable care to provide accurate product descriptions, dimensions, colours, materials, care information and images.

Screens, photography, production batches and manufacturing processes can cause minor differences in colour, finish or appearance.

You are responsible for checking that the information used in your marketplace listings is current and accurate. You must promptly update your listings when we provide amended product information.

You must not make claims about products that we have not supplied or approved.

8. Prices, VAT and Resale Prices

Trade prices are shown in pounds sterling.

Applicable VAT treatment will be displayed at checkout and on the relevant invoice. You are responsible for providing accurate VAT and business information.

Prices can change for future orders. A price change will not normally affect an order that we have already accepted.

Any recommended retail price or suggested selling price supplied by LuxeDiva is a recommendation only. You remain free to determine your own resale price, subject to applicable law and marketplace rules.

Discount codes, retail promotions and consumer offers do not apply to Trade orders unless we expressly state otherwise.

9. Orders and Acceptance

You are responsible for reviewing each order before submission, including:

  • Product

  • Size and colour

  • Quantity

  • Customer name

  • Delivery address

  • Postcode

  • Telephone number

  • Marketplace reference

  • Delivery service

  • Special instructions

An automated acknowledgement confirms that we have received your order. It does not necessarily mean that we have accepted it.

Unless we expressly confirm otherwise, an order is accepted when we confirm dispatch.

We may decline or cancel an order before dispatch where:

  • The product is unavailable.

  • The price or product information contains an obvious error.

  • Payment is declined or reversed.

  • The delivery address is incomplete, invalid or outside an available service area.

  • The order appears fraudulent, unlawful or contrary to marketplace rules.

  • The order would breach account restrictions or these terms.

Where we cancel an order after payment, we will refund the amount paid for the cancelled item or order.

10. Payment

New Trade accounts must pay in full at checkout unless written payment terms have been agreed.

You must not place an order unless you are authorised to use the selected payment method.

Where payment terms or credit are agreed, payment must be made by the stated due date. We may suspend ordering privileges or withdraw credit if an amount becomes overdue.

You are responsible for reasonable costs directly caused by a failed, reversed or unauthorised payment, to the extent permitted by law.

Ownership of goods does not pass to you until we have received payment in full. Risk in the goods passes when the parcel is delivered to the delivery address supplied for the order.

11. Dropshipping Relationship

For dropshipping orders, LuxeDiva provides product supply and fulfilment services to the approved reseller.

The reseller remains the seller to the end customer and is responsible for:

  • The marketplace listing

  • The retail selling price

  • Pre-contract information

  • Customer communication

  • Customer service

  • Cancellations and refunds

  • Chargebacks

  • Marketplace fees

  • Taxes arising from the reseller’s sale

  • Compliance with consumer law

  • Compliance with marketplace policies

  • Maintaining the reseller’s marketplace performance

You must not state or imply that LuxeDiva is the marketplace seller or that LuxeDiva has entered into a direct sales contract with your customer.

Nothing in these terms creates a partnership, agency, franchise, employment relationship or joint venture between LuxeDiva and the reseller.

You have no authority to make commitments, guarantees or representations on behalf of LuxeDiva.

12. Marketplace Compliance

You are responsible for confirming that you are permitted to sell each product on eBay, Amazon, TikTok Shop or any other marketplace.

Approval for a LuxeDiva Trade account does not guarantee marketplace approval or exemption from a marketplace’s brand, invoice, product-safety or fulfilment requirements.

You must not:

  • Use misleading product descriptions.

  • List counterfeit, altered or substituted products as LuxeDiva products.

  • Change or remove product labels without written permission.

  • Present LuxeDiva products as being manufactured by your own business.

  • Use LuxeDiva invoices or documents in a misleading way.

  • Manipulate reviews, feedback or marketplace metrics.

  • Use our brand in a business name, domain name or marketplace username without written permission.

We may suspend access where marketplace conduct creates a material risk to customers, LuxeDiva, our brand or other resellers.

13. Product Images, Descriptions and Intellectual Property

Subject to account approval, we grant you a limited, non-exclusive, non-transferable and revocable permission to use authorised LuxeDiva product images, descriptions and brand materials solely to advertise and sell genuine products purchased from us.

You must:

  • Use only current and authorised materials.

  • Use the materials only for genuine LuxeDiva products.

  • Avoid edits that misrepresent the product.

  • Remove materials when a product is discontinued or when requested.

  • Stop using the materials when your Trade account ends.

All ownership and intellectual-property rights remain with LuxeDiva or the relevant rights holder.

This permission does not allow you to register our trademarks, copy our entire website, license the materials to others or use the materials for unrelated products.

14. Delivery and Fulfilment

Available delivery services, prices and estimated timeframes are shown at checkout or in our B2B Delivery & Returns Policy.

Delivery estimates are not guaranteed dates unless we expressly agree a guaranteed service in writing.

You are responsible for providing a complete and accurate delivery address. Costs arising from an incorrect or incomplete address may be charged to your account where reasonably incurred.

Dropshipping parcels are normally sent using neutral external packaging. Product labels and branding on genuine LuxeDiva products will not be removed unless a separate written private-label arrangement has been agreed.

We do not include LuxeDiva retail invoices, retail discount vouchers or consumer marketing material in an order identified and processed as a dropshipping order.

15. Cancellations

You may request cancellation before an order enters picking, packing or dispatch.

A cancellation request is not effective until we confirm it.

Once an order has entered fulfilment or has been dispatched, cancellation might not be possible. The order may instead need to be handled under the B2B Delivery & Returns Policy.

16. Returns, Faults and Incorrect Items

All Trade returns are governed by our B2B Delivery & Returns Policy:

Returns require prior authorisation. Goods sent without authorisation may be refused or returned at the sender’s expense.

Your end customer must not be promised a refund from LuxeDiva. Any refund or credit from LuxeDiva is provided to the approved reseller, who remains responsible for refunding their customer.

Nothing in these terms excludes liability that cannot lawfully be excluded.

17. Your Customers’ Rights

You are responsible for giving your customers the information, cancellation rights, return options, remedies and refunds required by the laws applying to your sale.

Our B2B policy does not replace or limit any rights that your customer may have against you.

You must not use these B2B terms as your consumer-facing terms and conditions.

18. Customer Personal Data

You must have a lawful basis and provide appropriate privacy information before sharing an end customer’s name, address, telephone number or other personal data with LuxeDiva.

You must provide only the information reasonably necessary to fulfil and support the order.

LuxeDiva will use customer delivery information for fulfilment, delivery, fraud prevention, legal compliance and related order-support purposes.

Depending on the processing activity, each party may act as an independent controller, or LuxeDiva may process information on the reseller’s documented instructions. The parties will enter into additional data-processing terms where required by applicable data-protection law.

You must not upload unnecessary special-category, financial or identity information in an order note.

19. Confidentiality

Trade prices, non-public catalogues, commercial arrangements, account-specific discounts and other information identified as confidential must not be disclosed to unauthorised third parties.

This does not prevent disclosure where required by law, to professional advisers under confidentiality obligations or where the information is already lawfully public.

20. Suspension and Closure

We may suspend or close a Trade account where reasonably necessary, including where:

  • Information supplied is false or misleading.

  • An amount is overdue.

  • Fraud or unauthorised access is suspected.

  • These terms are materially or repeatedly breached.

  • Product images or intellectual property are misused.

  • Marketplace conduct creates a serious brand or customer risk.

  • The account has been inactive for an extended period.

  • Continuing the relationship would be unlawful.

Where reasonably possible, we will explain the reason and allow an opportunity to correct the issue. We may act immediately where needed to protect customers, prevent fraud, comply with law or limit serious harm.

Closing an account does not remove obligations relating to accepted orders, unpaid amounts, confidentiality, intellectual property, data protection or existing disputes.

21. Liability

Nothing in these terms excludes or limits liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Deliberate wrongdoing

  • Any liability that cannot lawfully be excluded or limited

Subject to the above, neither party will be liable for indirect or consequential losses that were not reasonably foreseeable when an order was accepted.

LuxeDiva is not responsible for marketplace fees, advertising costs, loss of marketplace ranking, account suspension, lost resale profit or promises made by the reseller beyond authorised product information, except to the extent that such loss was directly caused by our breach and cannot reasonably be excluded.

Subject to applicable law and the reasonableness of the limitation, our total liability arising from an individual order will not exceed the amount paid to us for that order.

22. Reseller Responsibility

You are responsible for reasonable losses, claims and costs caused by:

  • Your unlawful or misleading product listing.

  • Your breach of marketplace rules.

  • Your unauthorised product claims or guarantees.

  • Your misuse of our brand or intellectual property.

  • Your unlawful collection or disclosure of customer data.

  • Your failure to provide a correct delivery address.

  • Your failure to comply with obligations owed to your customer.

This section applies only to the extent that the loss was caused by your act, omission or breach.

23. Events Outside Reasonable Control

Neither party is responsible for a delay or failure caused by events genuinely outside its reasonable control, such as severe weather, carrier disruption, fire, flood, industrial action, government restrictions, widespread system failure or major supply-chain interruption.

The affected party must take reasonable steps to reduce the effect of the event and resume performance when reasonably possible.

Payment obligations for goods already supplied are not excused.

24. Changes to These Terms

We may update these terms to reflect changes in our service, law, marketplaces or operational requirements.

Material changes will apply to future orders after the updated terms are published or communicated. They will not retrospectively alter an order already accepted unless required by law or agreed by both parties.

25. General Provisions

If part of these terms is found invalid or unenforceable, the remaining terms will continue to apply.

A delay in enforcing a right does not waive that right.

You may not transfer your Trade account or rights under these terms without our written permission. We may transfer our business rights and obligations as part of a genuine sale, reorganisation or transfer of the LuxeDiva business, provided this does not materially reduce your rights.

These terms, the relevant order, our B2B Delivery & Returns Policy and any written account-specific agreement form the agreement between the parties concerning the Trade service.

26. Governing Law and Courts

These terms and any non-contractual dispute arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, unless the parties agree another lawful dispute-resolution method in writing.
